Agreement to Terms

Welcome to ClarifiQ! These Terms of Service ("Terms") govern your access to and use of ClarifiQ's personal finance management application, website, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Eligibility

To use ClarifiQ, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. ClarifiQ is not liable for any loss or damage arising from unauthorized account access.

Service Description

ClarifiQ provides personal finance management tools, including:

• Secure bank account connections via Plaid
• Transaction tracking and categorization
• Spending analytics and insights
• Subscription detection and management
• AI-powered financial coaching
• Budget planning and recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Financial Information and Plaid

ClarifiQ uses Plaid Inc. to connect to your financial institutions. By connecting your accounts:

• You authorize ClarifiQ to access your financial data through Plaid
• You agree to Plaid's End User Privacy Policy
• You grant read-only access to your account information
• You acknowledge that we do not store your banking credentials

Important: ClarifiQ is a read-only service. We cannot initiate transactions, transfers, or payments on your behalf.

Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile any part of the Service
• Use automated systems (bots, scrapers) without permission
• Impersonate others or provide false information
• Harass, abuse, or harm other users

Violation of these terms may result in immediate termination of your account.

AI Financial Coach Disclaimer

Data Accuracy

While we strive for accuracy, ClarifiQ:

• Relies on data provided by third parties (banks, Plaid)
• Cannot guarantee 100% accuracy of transaction data
• May experience delays in data synchronization
• May categorize transactions incorrectly

You are responsible for verifying your financial information and account balances with your financial institutions. ClarifiQ is not liable for any losses resulting from data inaccuracies.

Fees and Payment

ClarifiQ may offer both free and paid subscription tiers. If you subscribe to a paid plan:

• Fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• We may change fees with 30 days' advance notice
• You may cancel your subscription at any time

Failure to pay fees may result in suspension or termination of your account.

Intellectual Property

All content, features, and functionality of the Service are owned by ClarifiQ and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Create derivative works based on the Service

Your financial data belongs to you. By using ClarifiQ, you grant us a license to process your data to provide the Service.

Limitation of Liability

Indemnification

You agree to indemnify and hold harmless ClarifiQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your financial decisions or transactions

Termination

Either party may terminate these Terms at any time:

• You: May delete your account at any time through account settings
• ClarifiQ: May suspend or terminate your account for violations of these Terms, illegal activity, or at our discretion

Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted according to our Privacy Policy
• Any fees paid are non-refundable
• Provisions regarding liability and indemnification survive termination

Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at support@clarifi-q.com to resolve any disputes informally.

Arbitration: If informal resolution fails, any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws provisions. Any legal action or proceeding shall be brought exclusively in the courts located in San Francisco County, California.

Changes to Terms

We may modify these Terms at any time. When we do:

• We will update the "Last Updated" date
• We will notify you via email for material changes
• Continued use of the Service constitutes acceptance
• If you don't agree to changes, you must stop using the Service

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClarifiQ regarding the Service and supersede any prior agreements.
